Rules and Regulations

1. Eligibility:
 Contest (the "Contest") is open only to those who sign up by sharing the original Frndly TV contest post on one of the 2 approved social media sites: Facebook and Instagram. Entry is contingent upon following the rules outlined below and those who are at least 18+ years old at the time of entry. The Contest is open to the legal residents of the United States and is void where prohibited by law. Employees of Frndly TV, Inc. (the "Sponsor") their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers, and their immediate family members and/or those living in the same household of each are not eligible to participate in the Contest. The Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

2. Agreement to Rules:
 By participating, you agree to be fully unconditionally bound by these Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Frndly TV, Inc., as final and binding as it relates to the content. The Contest is subject to all applicable federal, state, and local laws.

3. Contest Period:
 Entries will be accepted each week starting on Thursdays and will end the following Thursday. All entries must be submitted by 11:59 pm MST on Thursdays to be considered. The total flight dates of the contest will start on April 7th and end when the final Network participates. This date is to be determined.

4. How to Enter:
 The Contest must be entered by submitting an entry by sharing the original Frndly TV Caption Contest post to either a Facebook or Instagram story. Users must repost the weekly image to their social media story with an original caption. This post must have hashtags, “FrndlyTVCaptionContest” and Frndly TV and participating network must be tagged. Frndly TV and participating network must be followed by the contestant to be eligible to win. The entry must fulfill all Contest requirements, as specified, to be eligible to win a prize.  The story post must be a repost of the original weekly image with no more than 15 words containing a caption of the image. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Frndly TV, Inc. You may enter only once a week and you must fill in the information requested each time. Each post must be different and original. You may not enter more times than indicated by using multiple social media profiles, identities, or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules your submission may be removed from eligibility at the sole discretion of Frndly TV, Inc.

5. Prizes:
The retail value of all prizes for the 1st place winner is approx—$ 235.00. The prizes for 1st place are One (1) Annual Subscription for 1 year of Frndly TV - Premium Plan valued at approx. $110.00. One Frndly TV t-shirt valued at $5.00, and One (1) Frndly TV Tote bag valued at $5.00. One (1) Prize from participating network (INSP) is valued at $125.00. The contents of these are a $35.00 Soy Wax Candle, 1 JBL Wireless Speaker valued at $40.00, and 1 (one) $50.00 Starbucks Gift Card. The approx. value of all prizes for the 2nd place winner is approx—$ 133.00. The Prizes for 2nd place are One (1) Subscription for 6 months of Frndly TV - Premium Plan valued at approx. $66.00. One (1) Prize Pack from INSP valued at approx. $67.00. (1) The contents of these are a $35.00 Yeti Tumbler, and 1 INSP Spot Pro Air Tag valued at $32.00. The prizes for 3rd place are valued at $73.00. The Prizes for 3rd place are one (1)  Subscription for 3 months of Frndly TV - Premium Plan, valued at approx. $33.00.One (1) Prize from participating network (INSP) is valued at $40.00. The contents of these are $30.00 Black and Blum Stainless steel water bottle, 1 INSP bandana valued at $10.00. 

You are not guaranteed to win a prize and your chance of winning is dependent on the total number of eligible entries received and the Criteria listed below. The Sponsor or Frndly TV sharing your entry to their story does NOT increase your chance of winning, nor is it an indication that you have won unless expressly stated. Actual/appraised value may differ at the time of prize award. The third-party ‘Sponsor’ is not responsible for any liability related to prizing and any and all concerns should be directed towards Frndly TV. The specifics of the prize shall be solely determined by the Sponsor. No cash or other prize substitution is permitted for any reason, with one exception: If a user has a Frndly TV subscription through their Amazon Fire Stick, then they will be given a gift card for the equivalent amount of the retail cost of the Frndly TV subscription they have won. The prize is non-transferable. Any and all prize-related expenses, including without limitation any and all federal, state, and local taxes shall be the sole responsibility of the winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. Entry into the contest constitutes permission for Frndly TV, Inc. to use the winner's name, likeness, and entry for purposes of advertising and trade without further compensation unless prohibited by law.

6. Odds:
 The odds of winning depend on the number of eligible entries received and the criteria listed below.

7. Winner selection and notification:
 Winners of the Contest will be selected by the employees of Frndly TV based on the following criteria and with the supervision of the Sponsor. To enter: Participants must be following The Frndly TV social media platform as well as participating network in which they have posted. The story post must be a repost of the original weekly image with no more than 15 words containing a caption of the image. Entry must not contain curse words, political statements, or depict any illegal or inappropriate activity. Winners will be selected based on the quality of the caption. Winners will be notified via Direct Message on the platform in which they entered the Contest. Contest winners will be notified within five (5) days following the end of the contest. Frndly TV, Inc. shall have no liability for a winner's failure to receive notices due to the winner's spam, junk, or other security settings or for the winner's provision of incorrect or otherwise non-functioning contact information. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within 5 days from the time award notification was sent, or fails to timely return a completed and executed declaration and releases as required, the prize may be forfeited and an alternate winner selected. Participants must give the following information: Valid mailing address, and shirt size.  The receipt by the winner of the prize offered in this Contest is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE Contest AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Rights Granted by you:
 By entering this contest you understand that Frndly TV, Inc., anyone acting on behalf of Frndly TV, Inc., or its respective licensees, successors, and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the world, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the Contest, and biographical information as news, publicity or information and for trade, advertising, public relations, and promotional purposes without any further compensation.

9. Terms:
 Frndly TV, Inc. reserves the right, in its sole discretion to cancel, terminate, modify, or suspend the Contest should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud, or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Contest. In such case, Frndly TV, Inc. may select the recipients from all eligible entries received prior to and/or after (if appropriate) the action taken by Frndly TV, Inc. Frndly TV, Inc. reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Contest or website or violates these Terms & Conditions.
Frndly TV, Inc. has the right, in its sole discretion, to maintain the integrity of the Contest, to void entries for any reason, including, but not limited to; multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Contest rules; or the use of bots, macros or scripts or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws and should such an attempt be made, Frndly TV, Inc. reserves the right to seek damages from any such person to the fullest extent permitted by law.

10. Limitation of Liability:
 By entering you agree to release and hold harmless Frndly TV, Inc. and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the Contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the PromotionContest; (v) electronic or human error which may occur in the administration of the Promotion Contestor the processing of entries.

11. Disputes:
 THIS Contest IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF CO, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Contest, the participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resorting to any form of class action, exclusively before a court located in the State of Colorado having jurisdiction. Further, in any such dispute, under no circumstances will the participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than the participant's actual out-of-pocket expenses (i.e. costs associated with entering this Contest), and participant further waives all rights to have damages multiplied or increased. The third-party ‘Sponsor’ prize providers (Game Show Network, INSP, UPtv, Lifetime) are not sponsors of the contest and are not responsible or liable for any disputes regarding the contest. Any and all issues regarding the contest will be directed towards Frndly TV.”
